The Process
The process of selling your company begins with a confidential meeting to learn about our prospective client’s business and to explore his goals. We explain the transaction process, the current market condictions and how we work.
Preliminary Analysis
To get a premium price for a company we have to show the prospective new owner the true profitability of the business. ACT Consultants conducts a thorough evaluation of our Client’s business and industry to establish a range for the fair market value of the business. It is imperative for a client to have realistic expectations of value of his business before bringing it to market.
Fact Gathering
After the signing of the representation agreement we gather data about our Client’s business, its products, services, financial background, industry, strengths, weaknesses and potential.
Marketing
We prepare a strategic marketing plan for the business. A key element is the development of professional marketing materials to present the company in its best light. Our Confidential Sales Memorandum (CSM) describes the business, industry, market, competitive situation and future prospects, while maintaining the highest degree of confidentiality and professionalism. We position your company to highlight the opportunities that your business offers that will appeal to knowledgeable purchasers.
Finding The Right Buyer
An integral part of our marketing is the identification of qualified, interested prospects, who have both the managerial and financial ability to purchase and run the business. To this end we maintain files, databases and conduct extensive research on corporations, individuals and private investment groups; local, national, and international; who are looking for businesses.
Controlled Auction
A single buyer, without competition has significant negotiating leverage. With mutiple buyers, we turn this leverage in favor of our client and skillfully maximize their value and most importantly structure a deal that is most favorable. To tactfully navagate this process and to avoid the negotiating pitfalls, requires the skill and experience of seasoned investment banker.
Negotiations
We assist the Client with all the complex preliminary negotiations with buyers. In many cases buyers employ skilled professionals. While the desired results and the final decisions are entirely up to the Client, using our experience and skills allows him to maintain a far stronger negotiating position.
